1. Scope and acceptance
These Terms govern access to CloudTV websites, accounts, software, APIs, SDKs, applications, live-stream processing, transmission, delivery, and related support services. An order form, service schedule, or other written agreement may add service-specific terms. If those terms conflict with these Terms, the service-specific terms control for that service.
By creating an account, placing an order, accessing an SDK, or using a CloudTV service, you confirm that you have authority to accept these Terms for yourself or the organization you represent.
2. Services
CloudTV provides modular live video infrastructure and SaaS. Available configurations may include live-stream ingest, transcoding, protocol conversion, restreaming, cross-border push acceleration, CDN or P2P delivery, content metadata management, customer administration, charging, payment interfaces, analytics, digital watermarking, client SDKs, and branded application development.
Service availability, supported protocols, regions, capacity, delivery methods, and support levels depend on the purchased configuration. CloudTV may use subcontractors and third-party infrastructure to provide parts of a service.
3. Content and data handling
SaaS-only services
When a customer uses only CloudTV content management, customer management, billing, payment-interface, or analytics functions, media remains on infrastructure selected and controlled by the customer or its third-party providers. CloudTV does not receive or process the live media under that configuration, although it may process associated metadata, account records, transaction information, and analytics events needed to provide the SaaS functions.
Customer-enabled media services
When a customer enables CloudTV delivery, relay, transcoding, protocol conversion, acceleration, watermarking, or similar media services, the relevant live-stream data may pass through CloudTV-controlled or contracted infrastructure and is processed only as required to provide the selected service. CloudTV does not provide persistent video-file hosting or maintain a customer media library.
The customer selects or controls the live source, permitted recipients, publishing destinations, service rules, and enabled processing. CloudTV does not acquire ownership of customer media or metadata through service operation.
4. Customer responsibilities
You are responsible for all sources, streams, metadata, applications, accounts, and instructions submitted through your account. You must hold all rights, licences, permissions, and consents required to ingest, process, modify, watermark, transmit, distribute, monetize, and make the relevant live stream available in each destination territory.
You are also responsible for end-user terms, privacy notices, age or territorial restrictions, payment disclosures, and any consent required for enabled delivery methods. If P2P delivery is enabled, you must provide any end-user disclosure or consent required by applicable law and platform rules.
You must maintain accurate contact and billing information and respond promptly to rights, security, abuse, and operational enquiries relating to your service.
5. Accounts and security
Keep passwords, API credentials, tokens, signing keys, and access devices confidential. You are responsible for activity performed through your account unless caused by CloudTV's breach of its security obligations. Notify CloudTV promptly if credentials are lost, compromised, or used without authorization.
You may not share an account outside the authorized organization, bypass service limits, interfere with authentication or metering, or attempt to access another customer's data or traffic.
6. Fees, payment, and taxes
Fees, currencies, billing intervals, usage measurements, and payment terms are shown in the applicable account, checkout, invoice, or order form. You authorize CloudTV and its payment providers to process charges using the selected payment method. You are responsible for applicable taxes other than taxes based on CloudTV's income.
Refunds and service credits are governed by the policy shown at purchase or in the applicable service agreement, subject to mandatory law. A payment dispute does not suspend the obligation to pay undisputed amounts.
7. Acceptable use
You may not use CloudTV services to infringe intellectual-property rights, distribute unlawful material, facilitate fraud, evade sanctions or territorial restrictions, attack networks, spread malware, interfere with other customers, falsify usage information, or impose an unreasonable load outside the purchased service limits.
CloudTV may investigate suspected abuse, preserve relevant account and network records, restrict a route or destination, and cooperate with valid legal process. Reports may be submitted through the CloudTV contact directory.
8. Intellectual property
CloudTV and its licensors retain all rights in the platform, software, APIs, SDKs, documentation, designs, trademarks, and service technology. Subject to payment and compliance with these Terms, CloudTV grants the customer the limited right to use purchased services during the applicable subscription or project term.
The customer retains its rights in customer data, metadata, brands, applications, and authorized media. The customer grants CloudTV only the limited rights necessary to process those materials and instructions to provide, secure, support, and account for the selected services.
9. Availability, warranties, and liability
CloudTV will provide services with reasonable care and in accordance with applicable service commitments. Internet routing, customer sources, destination platforms, third-party CDNs, payment networks, devices, and public peer networks remain outside CloudTV's exclusive control.
Except for warranties that cannot legally be excluded, services are provided on an “as available” basis. CloudTV does not guarantee uninterrupted transmission, acceptance by a destination platform, a particular audience level, or commercial results.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, punitive, or consequential loss, or for lost profits, revenue, goodwill, or data. Any further liability limits are stated in the applicable service agreement. Nothing in these Terms excludes liability that applicable law does not permit a party to exclude.
10. Suspension and termination
CloudTV may suspend affected services when reasonably necessary to address security threats, unlawful use, rights infringement, non-payment, material breach, emergency maintenance, or risk to the platform or other customers. Where practical, CloudTV will give notice and limit suspension to the affected service.
On termination, your right to use the affected service ends. Accrued payment obligations and provisions concerning ownership, confidentiality, liability, dispute handling, and other terms intended to survive remain effective.
11. General terms
CloudTV may update these Terms to reflect service, legal, or security changes. Material changes will be posted with a revised date and, where required, notified through the account or registered contact channel.
Governing law and venue may be specified in the applicable order form or service agreement. If no separate agreement applies, they are determined by the contracting CloudTV entity and mandatory conflict-of-law rules. If any provision is unenforceable, the remaining provisions continue in effect.
